Terms of Service

These terms govern use of tryorca.io and the Orca marketplace by brands and creators. By joining the waitlist, applying as a creator, or creating an account, you agree to them.
Eligibility
You must be 18 or older and able to enter a binding contract. If you use Orca on behalf of a company, you confirm you're authorized to bind it.
Waitlist and applications
Submitting the waitlist or creator application form doesn't guarantee access — we review applications and admit users in cohorts. You confirm the information you submit (including follower counts, profile links, and rates) is accurate and about you. We may decline or remove applications at our discretion, including for inaccurate metrics.
The marketplace
Orca connects brands with creators, generates briefs and contracts, tracks performance, and processes payments. Orca is the invoicing party: brands pay Orca, and Orca pays creators after content is published and verified. Orca is a marketplace, not an agency — each deal is between the brand and the creator on the terms shown in that deal.
Fees
Self-serve campaigns carry a 15% platform fee on creator media spend, charged only when a deal ships. Managed campaigns are quoted per campaign. Media budget goes to creators in full. Fees are exclusive of applicable taxes (e.g. GST).
Payments and tax
Creator payouts are processed after publication and verification, per the timeline shown in each deal. Orca deducts TDS where required and issues the corresponding certificates. Creators are responsible for their own tax filings; brands are responsible for GST on invoices Orca issues to them.
Content, IP, and disclosure
Creators retain ownership of their content and grant brands the usage rights specified in each deal — nothing more. Creators grant Orca a limited license to display deal content inside the platform (e.g. for tracking and reporting). All sponsored content must carry the disclosures required by law, ASCI guidelines, and platform policy (e.g. #ad, #collab).
Conduct
You agree not to:
- Misrepresent your identity, metrics, or authority
- Buy followers or artificially inflate engagement on deal content
- Circumvent Orca to take a matched deal off-platform to avoid fees
- Post content that is unlawful, infringing, or deceptive
- Scrape, reverse-engineer, or interfere with the platform
Cancellation
Deals still in negotiation cancel free. Accepted deals carry the creator's cancellation terms, shown before you launch. We may suspend or terminate accounts that breach these terms; you can close your account at any time, subject to completing active deals.
Disclaimers
The platform is provided "as is". Orca doesn't guarantee campaign outcomes, creator performance, audience figures reported by platforms, or uninterrupted availability. Nothing on the site is professional, legal, or tax advice.
Liability
To the maximum extent permitted by law, Orca's total liability for any claim is limited to the platform fees you paid us in the 3 months before the claim arose, and Orca is not liable for indirect or consequential losses, including lost profits. Nothing limits liability that cannot be limited by law.
Indemnity
You'll indemnify Orca against third-party claims arising from your content, your breach of these terms, or your violation of law — including missing ad disclosures on your content.
Governing law
These terms are governed by the laws of India, and disputes are subject to the exclusive jurisdiction of the competent courts at the company's registered office.
Changes
We may update these terms; material changes will be notified by email or on the site, and continued use after that constitutes acceptance.
